Terms of Service
These terms set out the agreement between you and CCormier Inc. when we build, publish or maintain a digital flipbook menu for your business.
1. Agreement to these terms
By asking us for a quote, approving a proposal, sending us your menu, or using any website or flipbook we publish for you, you agree to these Terms of Service. If you are acting on behalf of a restaurant, café, bar, inn or other business, you confirm that you have authority to bind that business.
If you do not agree with any part of these terms, please do not use our service.
2. Who we are
In these terms, “CCormier,” “we,” “us” or “our” means CCormier Inc., located at 231 Conant Rd, Fort Fairfield, Maine 04742. You can reach us at menus@ccormierinc.com or (207) 472-3464.
“Client,” “you” or “your” means the business we are working with, and anyone authorised to act for it.
3. Our service
We turn restaurant menus and related print material into digital flipbooks — page-turning publications that open in a web browser and are shared by link, QR code or website embed. Depending on what you ask for, our work may include:
- Converting your PDF, print menu or design file into a hosted flipbook.
- Laying out and adjusting the menu for comfortable reading on phones and tablets.
- Applying your logo, colours and branding to the publication.
- Providing a shareable link, QR code and website embed code.
- Replacing the published menu when your items or prices change.
The specific deliverables for your project are the ones described in your quote or proposal. If something is not listed there or here, it is not included.
4. Quotes, fees & payment
Prices are provided in a written quote or proposal before work begins. Unless a quote says otherwise:
- A quote is an estimate for the scope it describes and is valid for 30 days.
- Work outside the agreed scope — extra menus, extra locations, redesigns, rush turnaround — is billed separately and quoted in advance.
- Invoices are due on the date stated on the invoice.
- Prices are in US dollars and do not include any applicable sales tax.
We may pause work on an account with an overdue balance until it is settled. Published flipbooks remain available during a normal billing period, but we are not obliged to keep hosting material for an account that remains seriously overdue.
5. Your content
You keep ownership of everything you give us — your menu text, prices, photographs, recipes, logos, trademarks and other brand material. Nothing in these terms transfers ownership of your content to us.
You grant us a limited, non-exclusive licence to use, reproduce, format and display that content solely so we can build, publish, host and update your flipbook and promote our work as described below.
Accuracy is yours to confirm
You are responsible for the accuracy of your menu — item names, descriptions, prices, allergen information and any claims made about ingredients or preparation. We publish the material you supply and proofread for obvious layout errors, but we do not verify the accuracy of the underlying information.
Showing our work
Unless you tell us otherwise in writing, we may display your finished flipbook and your business name in our portfolio, on this website and in our own marketing as an example of our work. Tell us at any time if you would prefer we did not, and we will take it down.
6. Revisions & updates
Most quotes include a round of revisions so the finished menu matches what you approved. Reasonable corrections — fixing a price, a typo, a swapped photo — are part of normal service. Substantial redesigns, new layouts or additional menus are quoted separately.
When your menu changes, send us the new material and we will update the publication. Unless we have agreed a different arrangement, updates are handled as they come and may be billed at the rate in your quote.
Same link, new menu. Because your QR code points at the publication rather than at a specific file, you can replace the menu behind it as often as you like. Printed table cards and signage keep working.
7. QR codes, links & embeds
We provide a public web address for each published flipbook, along with a QR code and embed code where requested. You may use these on table cards, menus, windows, receipts, your website and your social accounts.
- The web address for a publication will normally stay the same when a menu is updated.
- We may change the underlying hosting or URL structure if we need to, and we will give you notice and updated QR material if that would affect printed items.
- Please test any printed QR codes on a couple of phones before you print a large run.
- QR codes and links are for your own use and should not be resold or rebranded.
8. Your responsibilities
So we can do good work on time, you agree to:
- Supply menu material in a supported format and in reasonable time — PDF, InDesign, Canva or Word. Photographs of a printed menu do not reproduce well, so please don’t send them.
- Hold the rights or permissions needed for any content you give us.
- Review and approve proofs before we publish.
- Tell us promptly when items, prices or hours change.
- Keep your own copy of your menus and brand files.
- Ensure your menu information meets any law that applies to you, including food allergen disclosure and any local signage rules.
9. Acceptable use
You agree not to use our service, website or publications to:
- Publish content that is unlawful, deceptive, fraudulent or defamatory.
- Infringe anyone’s copyright, trademark, privacy or other rights.
- Misrepresent prices, products, ingredients or availability.
- Distribute malware or attempt to gain unauthorised access to any system.
- Scrape, resell, or republish the service or another client’s publications.
- Use the service in a way that could disrupt it for others.
If we reasonably believe content breaches this section, we may remove or refuse to publish it and will tell you why.
10. Third-party services & hosting
Your flipbook is delivered over infrastructure operated by others. Traffic to this site and to published flipbooks passes through a reverse proxy at RackNerd, and the site itself is hosted and maintained by Alexander Wasson (alexanderwasson.dev). We also rely on providers for email and for the flipbook publishing software itself.
These providers are independent services with their own terms and outages. We take reasonable care in choosing and working with them, but we cannot guarantee that a publication will be available without interruption, or that a third party will never change how its service works.
11. Intellectual property
Your content stays yours. Our tools stay ours. Our templates, layouts, code, processes, this website and our own branding remain the property of CCormier Inc. and our licensors.
On full payment, we grant you a non-exclusive, perpetual licence to use, display and distribute the flipbook we produce for you for your own business purposes — on your website, on printed material, on social media and in your restaurant.
12. Confidentiality
We treat your unpublished menus, pricing, supplier information and business details as confidential and will not share them beyond what is needed to do the work or as required by law. This obligation continues after our work together ends.
13. Disclaimers
We work carefully and professionally, but the service is provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties — express or implied — including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that:
- A publication will be available at all times or free of interruption.
- Every device, browser or QR scanner will display a publication identically.
- Using a flipbook will increase your sales, traffic or bookings.
- Errors in material you supplied will be detected before publication.
Nothing on this website is legal, tax, accounting or food-safety advice. Menu compliance remains your responsibility.
14. Limitation of liability
To the fullest extent permitted by law, CCormier Inc. and its owner will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, loss of goodwill, or loss of data, arising out of or relating to the service or these terms — even if we have been advised such damage is possible.
Our total aggregate liability for any claim arising out of the service or these terms will not exceed the total amount you paid us for the service giving rise to the claim in the twelve months before the claim arose.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these terms limits liability that cannot be limited by law.
15. Indemnification
You agree to indemnify and hold harmless CCormier Inc. and its owner from claims, losses and reasonable costs arising from content you supplied, your use of the service, your menu information, or your breach of these terms — except to the extent caused by our own misconduct.
16. Term & termination
These terms apply while we are working together and afterwards for anything that naturally continues. Either of us may end an engagement in writing.
- Work already completed remains payable.
- On request, we will hand over the menu files we produced for you.
- We may remove a published flipbook after an engagement ends and a reasonable notice period has passed — normally 30 days — so you have time to move or replace it.
- Sections that by their nature should survive — including intellectual property, confidentiality, disclaimers, liability and governing law — will survive.
17. Governing law & disputes
These terms are governed by the laws of the State of Maine, without regard to its conflict-of-law rules. Before filing a claim, we each agree to try to resolve the issue by contacting the other and discussing it in good faith for at least 30 days.
If we cannot resolve it, disputes will be brought in the state or federal courts located in Maine, and each of us consents to their jurisdiction.
18. Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they were last revised. If a change is material, we will give reasonable notice — for example by email or a note on this website — before it takes effect. Continuing to use the service after a change takes effect means you accept the updated terms.
